A. AFFILIATED COMPANIES

The information on the companies currently acting established by initiatives of and participation to a great extend of our company is given below.

TOSCANA DOĞU INVESTMENT HOLDING LANDSCAPE INC.

The Toscana Doğu Investment Holding Landscape Inc. has been established with its headquarters in the city of Sanliurfa in line with the goal of Doğu Investment Holding Inc. to support production of seed, seedling and fertilizer and give assistance to farmers on product basis through contracted farmer organization, and within the frame investments planned by DIH under the “Agricultural Production Project.”

Established by Doğu Investment Holding Inc. having 60% of shares and Toscana Foreign Trade Co. Ltd. having Italian partners and 40% of shares, this company being the first company with foreign capital in the region leased the Vali Akbulut Nursery Garden, for a period of 10 years, spread on an area of 750 decares and belonging to the Special Provincial Administration of Sanliurfa, located in the district of Akcakale at 45 km south of Sanliurfa.

Plants for landscape as well as grape, olive, pistachio, scrub and fruit saplings are grown in this nursery.

GAP PROCESSED FOOD PRODUCTS INDUSTRY and TRADE INC.

Gap Processed Food Products Inc. has been established on 28.05.1997 being seated in Sanliurfa within frame of investments planned by Doğu Investment Holding Inc under the “Agricultural Production Project.”

This company established with 96% participation in share capital by Doğu Investment Holding Inc. has leased four glass greenhouses with total area of 11,777.8 m2 having geothermal energy; one being 8,908.8 m2, one 1,728 m2 and two 576 m2 located from the Special Provincial Administration along with 120 decares of land, cold storage houses, accommodation facilities for personnel and management building for a period of 10 years.

Though tomato and various kinds of pepper production trials were made in the existing greenhouses last year, production of ornamental plants for interior spaces has started according to the demand from the market based on the market research conducted. To this end, production of saplings of tropical plants imported from Holland and ornamental plants for interior spaces highly demanded in the market has already commenced.

In this respect, vegetable growing has reduced, and pepper production continues only in the greenhouses of 1,728 m2 and 576 m2. The weekly yield of pepper production in the section of greenhouses of 2,304 m2 is around 500 – 600 kg, and this small amount of products is put up for sale in the regional market.

Sale of a great part of these ornamental plants for interior locations currently being grown is scheduled to start in May 1999, 150 billion liras of proceeds is expected from the sale of these products. However, it is estimated more turnover will be generated from the production ornamental plants for interior spaces compared to vegetable production if the technical deficiencies and problems of greenhouses are eliminated.

No matter the GAP Processed Food Products Industry and Trade Inc. resumes the subject productions in the greenhouses it has leased, the mean purpose of establishment of this company is to do contracted agricultural production with the regional producers and to establish facilities to process these products as frozen and processed food as the first step of the “FRUIT – VEGETABLE SHOCKING PROJECT”, which is among the projects prepared by Doğu Investment Holding Inc. during its establishment stage.

Mainly cotton and wheat and vegetables though in small amount are currently being cultivated in an area of about 90,000 decares initially opened for irrigated farming after completion of Sanliurfa Tunnels, which transmit the water from the Ataturk Dam to the arable fields of the Southeastern Anatolia Region. We have found out upon the research conducted by our experts that garlic being produced in Taskopru district of Kastamonu province can also be produced in the GAP region in the same quality and aroma with the purpose of increasing vegetable cultivation across the region and leading the regional farmers to such products. Based on this finding about garlic, the garlic seeds brought from Taskopru have been sown in October 1998 in a field of 200 decares in the Ozbas Village in Hilvan and harvest of this production is scheduled to start by the end of June 1999. The calculations and estimations show that 105 tons of garlic will be yielded from this production.

Likewise in the scope of this project, the works have started for production of dried tomato as the initial step of cooperation envisaged through talks with the Kerevitas Company upon the demand of this company. Seeds of Rio Grande to be used for production of dried tomato were purchased and seedlings were planted in our existing greenhouses. These seedlings have been planted in a field of 200 decares in the Cagbasi Village. According to the calculations, tomato yield to be achieved from these seedlings will be around 800 – 100 tons. The dried tomato will amount to 40-50 tons based on the known ratio of 1/17 upon drying. The studies on export prices of dried tomato indicate that the sale price vary 2.50 – 3.00 dollar/kg. Based on this calculation, the proceeds will be about 125,000 – 150,000 dollars if the whole production is dried.

DIYARBAKIR INTEGRATED POULTRY INDUSTRY and TRADE INC.

Diyarbakir Integrated Poultry Industry and Trade Inc. established with a share capital of 77% owned by Doğu Investment Holding Inc. has leased the facility consisting of 10 chicken coops with a capacity of 15,000 chickens, feed factory of daily 8-ton capacity and a slaughterhouse of 2000 pieces per hour from the UMAŞ TAVUKCULUK Inc. Company.

VAN WATER BOTTLING PLANT

With regard to bottled water production needed in the Southeastern and Eastern Anatolia Regions, initially, the Province of Diyarbakir was chosen for investment to realize a facility with a capacity of 50,000 pcs./day production, and exploration activities for water resources suitable for investment under the Investment Incentive Certificated obtained resumed in Diyarbakir. The exploration works for an appropriate water resource were resumed despite various problems and finally a profitable resource was found. However, this time, our project was prevented because the landowner did not yet solved its problems associated with land ownership. Therefore, we started to carry out exploration activities for water in the Eastern Anatolia.

Based on these exploration activities, a few water springs have been finally detected in the province of Van, and the procedures on allocation of these lands are underway.

Although the entire preparations concerning the investment have been completed, the Investment Incentive Certificate issued for this investment which has not yet started due to the bureaucratic difficulties has been modified with respect to place of the investment, and the project this way has been transferred from Diyarbakir to Van and moreover, time extension has been obtained for the certification.

GAP INTEGRATED POULTRY INDUSTRY AND TRADE INC.

GAP Integrated Poultry Industry and Trade Inc. has been established with its headquarters in Sanliurfa to display activities oriented at providing job opportunities to the villagers by putting all the idle chicken farms in the GAP Region.

Since certain facilities requiring extensive activities such as establishing plants for breeder hen and brooders and feed production under this integrated project, the works and surveys have commenced to purchase proper lands far away from each other, yet no result has been achieved so far due to the feudal system across the region or title deed problems.

Though the government stipulates land allocation for incentive purposes to the companies investing in the Eastern and Southeastern Anatolia Regions, we have not able to get any affirmative response and final conclusion for our applications on this issue. Only the Office of Governor of Diyarbakir has stated that they will allocate a land for this project, yet the procedures have not been finalized because of bureaucratic difficulties.
